Contract Abstraction Explained
Turning a contract portfolio into a register you can query: which fields to capture, why every field needs a page reference, and where abstraction saves the most time.

Contract abstraction reduces a portfolio of agreements to a structured register. The test of a good abstract is simple: can someone answer a question about the portfolio without opening a single PDF?
The fields that earn their place
Parties and signature date. Effective date, term and expiry. Renewal mechanism and the notice window with its deadline. Payment terms and escalation. Assignment and change-of-control. Termination rights on each side. Governing law and dispute resolution. Confidentiality and indemnity. Limitation of liability. Every field carries the page or clause reference it came from, because a register nobody can verify gets re-checked manually, which defeats the purpose.
Obligation and renewal registers
Two derived views do most of the work. An obligation register lists what each party must do and by when. A renewal calendar lists every notice deadline in date order — the single output most likely to save real money, because missed notice windows are expensive and invisible.
Clause deviation reports
Where you have a playbook or standard position, each agreement is compared against it and deviations are listed with severity. This is what turns a register into a risk document rather than a filing cabinet.
Where abstraction pays off
Diligence in a transaction, lease portfolios, vendor and supplier estates, post-merger integration, and any renewal cycle where notice periods are scattered across hundreds of agreements.
Format, exclusions and timing
We deliver in Excel or CSV to your field schema, or directly into your contract system's import format. We abstract and flag; we do not advise on enforceability, negotiate, or opine on which deviations are acceptable — those are legal judgements for counsel. Volume-based schedules are confirmed in writing before work starts. Full scope is on the contract review and abstraction page.
